Service Terms

These Service Terms govern the services provided by The Right Way for Business Solutions (“the Company”) under any service offer accepted by the client. They are referenced in every service offer we issue.

1. Scope

  • These terms apply to every service the Company provides under a client-accepted service offer.
  • They are read together with the accepted offer. Where the two conflict, the offer prevails.

2. Acceptance and Formation of Contract

  • The client's approval of an offer, or payment of any instalment under it, constitutes full acceptance of these terms and forms a binding contract between the parties without the need for a separate signed agreement.
  • The version of these terms published on this page on the date the offer is accepted is the version that applies.

3. Fees and Payment

  • All amounts are in Saudi Riyals and exclude value added tax unless stated otherwise.
  • The tax invoice is issued after the offer is accepted. The client provides the commercial registration, VAT registration certificate, and national address certificate.
  • Instalments fall due per the schedule in the offer. Work does not begin before the first instalment is received.

4. Duration

  • The duration starts from the date the team commences work after the first instalment is received.
  • The duration extends by any delay caused by the client in providing data or approving interim deliverables.

5. Client Responsibilities

  • Appointing one authorised representative to coordinate and take decisions.
  • Providing accurate and current data and documents at the agreed times.
  • Responding to interim deliverables within three working days. No response within that period is treated as approval.
  • The Company is not responsible for outcomes based on incomplete or inaccurate information provided by the client.

6. Deliverables and Review

  • The offer includes the number of review rounds stated in it. Any additional round is quoted separately.
  • The final version is delivered after the full fees are paid.
  • Deliverables are advisory in nature and do not carry a guarantee of any specific financial or commercial result.

7. Intellectual Property

  • Ownership of the final deliverables passes to the client once the full fees are paid.
  • The Company retains ownership of its methodologies, templates, tools, and general know-how used in delivery, and may reuse them.

8. Confidentiality

  • Both parties keep the information exchanged confidential, for two years from the end of the engagement.
  • This excludes what is stated in the Client Reference clause below, and any disclosure required by law.

9. Client Reference

  • The Company may list the client's name and logo among its clients on its website, marketing channels, and company profile.
  • This does not extend to disclosing the project's details, scope, value, or any confidential information.
  • The client may withdraw this permission at any time by written notice, and the Company removes the reference within thirty days.

10. Variation and Cancellation

  • Any change to scope requires a revised offer accepted by both parties.
  • If the client cancels after work has commenced, fees are due for the work completed up to the cancellation date, and the first instalment is non-refundable.

11. Limitation of Liability

  • In all cases, the Company's liability does not exceed the total fees actually paid under the offer.
  • The Company bears no indirect or consequential damages, or loss of profit.

12. Force Majeure

  • Neither party is liable for a breach caused by circumstances beyond its control, provided it notifies the other party within a reasonable period.

13. Governing Law and Disputes

  • These terms are governed by the laws of the Kingdom of Saudi Arabia.
  • The parties seek to settle any dispute amicably. Failing that, the competent courts in Riyadh have jurisdiction.

14. Updates to These Terms

  • The Company may update these terms. Each updated version is published on this page with a version number and effective date.
  • Updates do not apply retroactively to offers accepted before their effective date.
